We provide services to corporate clients to ensure that they satisfy all governance, legal and regulatory requirements. These include: providing legal advice on general corporate matters; drafting incorporation papers, amendments of constitutional documents, decrease and increase in capital stock, and all related documents; obtaining necessary approvals from the Securities and Exchange Commission (“SEC”); advising on reclassification of shares; and drafting and reviewing employee stock option/share appreciation rights plans; making available our attorneys to act as corporate secretaries or assistant secretaries; housekeeping of corporate records; attending meetings of board of directors and stockholders and taking down and completing minutes of those meetings; issuing secretary’s certificates; filing all reportorial requirements of the SEC (such as the general information sheets) that the corporate secretary must accomplish; and issuance of letters required by external auditors from the corporate secretary.
